It's probably not freezing.  The OS just can't get a response.  Let it run.

Jim, even though there is no movement and I see nothing being done?

Open Activity Monitor (in Applications -> Utilities).

If it's really not doing anything, you will see ~0% CPU activity.

I'll do that, could it also be getting hung up on some very lo-res aac file I might have gotten years back?

hellvis:
So yep, every time the conversion "freezes" for a couple hours, it's when it hits a low res, lower bitrate file.
