Title: Upgrade License Question

I currently have MC 9. If I upgrade to MC 12 does my MC 9 license expire.
If I wanted to switch back to MC 9 at a later date and apply for an activation code will I get one or will I be stuck with the new version?

I just wanted to know if I can give away a licensed copy of MJ 8?

MJ12 is free.
