Setting To Exit Media Center and Server?

Is there a setting to exit MC server automatically when exiting MC?

Yes. Set Options > Startup > Mac/Windows Startup to Nothing or to Media Center (alone, without the server choices).

The Media Network server will still work whenever MC is running (so long as the Media Network stuff is enabled under Options > Media Network), and will shut down when you close MC. You only need the extra little tray-server thing if you want it to keep running when MC is closed.
